If a vendor violates the User Agreement or Vendor Terms, DayOf may take the following actions:

Suspension or limitation


DayOf may suspend, limit, or restrict your access to the platform if you:


◆ Violate the User Agreement or Vendor Terms

◆ Attempt to circumvent fees
◆ Fail to comply with legal or insurance requirements
◆ Engage in conduct harmful to the platform or its users 


Termination


DayOf may terminate your account for violations or harmful conduct. You may also terminate your own account at any time.


Cancellation thresholds


◆ Two cancellations within a rolling 12-month period may result in suspension.

◆ Three cancellations within a rolling 12-month period will result in permanent removal.

Non-circumvention violations


Transacting off-platform with clients introduced through DayOf is a material breach. DayOf may immediately suspend or terminate your account, withhold payouts, or invoice you for lost fees.


What survives termination


Even after your account is closed, the following obligations continue:


◆ Non-circumvention obligations (24-month attribution window)

◆ Intellectual property rights
◆ Indemnification obligations
◆ Limitation of liability
